LEGAL VALIDITY

Are vendor agreements signed online legally binding?

Yes. A vendor agreement signed online is as enforceable as one signed in ink, and that holds whether you sent it to one supplier or bulk-sent it to a whole roster. In the United States it holds under the federal ESIGN Act of 2000 and state UETA laws, which give an electronic signature the same legal effect as a handwritten one.

Outside the US, the same holds under the EU’s eIDAS regulation, where Document eSign meets the Simple (SES) and Advanced (AdES) electronic signature standards.

When a vendor agreement is questioned, the audit trail is what settles it. Document eSign records each vendor’s email and IP address with a timestamp for every action - sent, opened, consented, verified, and signed - then binds the finished copy with a PAdES-B seal. That seal is a cryptographic fingerprint of the file at the instant of signing: change a single character afterward and the seal no longer matches, so any compliant reader flags that vendor’s copy as altered.

A few documents - certain instruments a statute requires to be notarized or wet-signed - may still need traditional execution, and Document eSign does not provide remote online notarization. Confirm the rule for the specific document and jurisdiction. Almost every commercial vendor agreement can be signed electronically.

What makes a signed vendor agreement hold up

  • Intent to sign - each vendor deliberately applies their signature, logged as an action
  • Consent to sign electronically - agreed before signing and recorded on the certificate
  • Attribution - the signature is tied to the vendor, their email, and their IP
  • A retained record - a tamper-evident copy and audit trail you can reproduce per vendor

FAQ

Signing vendor agreements online, answered.

Are vendor agreements signed electronically legally binding?

Yes. Vendor and supplier agreements signed electronically are legally binding in the United States under the ESIGN Act of 2000 and state UETA laws, and in the EU under the eIDAS regulation, provided the vendor intended to sign, consented to sign electronically, the signature is attributed to them, and a record is retained. Document eSign captures all four on every agreement, whether you sent it to one supplier or bulk-sent it to a hundred. Each signed copy is sealed with a SHA-256 hash and an embedded PAdES-B signature and comes back with a certificate of completion and the full audit trail, so the proof of execution travels with the file. The narrow exceptions are documents a statute requires to be notarized or wet-signed, so confirm the rule for that specific document type and jurisdiction.

Can I send the same vendor agreement to many vendors at once?

Yes, and this is the core of how Document eSign handles vendor onboarding. Save your standard agreement as a template, then use bulk send to dispatch it to a whole roster of suppliers in one job instead of building and emailing each one by hand. Every vendor receives their own private copy to sign, so no supplier ever sees another vendor's details or signature. You can counter-sign on your side, and each agreement seals independently the moment it is complete. For a procurement team onboarding fifty new suppliers, this turns a week of manual sending into a single batch, and you track all of them from one view rather than chasing separate email threads.

Can I upload my vendor list as a CSV?

Yes. Drop in a CSV of your vendors and Document eSign creates one signing copy per row, mapping each vendor's name and email to the right place in the agreement. A roster of fifty suppliers goes out as quickly as a single document, with no copy-pasting addresses between spreadsheets and the signing tool. You can review the whole batch before anything sends, so you catch a typo in a vendor email or a missing row before the first copy leaves your account. Each vendor then gets their own link, signs in the browser with no account, and the signed copy comes back to your workspace sealed. The CSV becomes the roster, and the roster becomes a batch of individually sealed agreements.

Can I counter-sign each vendor agreement on my side?

Yes. Add your own signature as a counter-sign role on the template, and every copy in the batch routes back to you (or whoever holds the counter-sign role) after the vendor signs. You can counter-sign each one as it lands, and the agreement only seals once both sides have signed, so a fully executed copy means the vendor signed and you accepted. Internal approvers such as procurement and finance can sit on the same envelope, signing in the order you set, so review and acceptance live on one agreement with a single audit trail per vendor. When the last party signs, that vendor's copy is sealed and the certificate of completion is ready, independent of where the rest of the roster stands.

Can I collect W-9s and onboarding forms with the agreement?

Yes. Bundle the W-9, a data processing addendum, or any onboarding form onto the same envelope as the vendor agreement, so a new supplier signs everything in one sitting rather than across separate requests. Custom fields let you validate the tax ID, bank account number, or amount with numeric, format, or regex rules, so the agreement cannot complete with malformed or missing data. That means the signed package you get back is already clean enough to hand to finance, with no follow-up emails asking a vendor to re-enter a number. Because each form is part of the same sealed copy, the onboarding record for that vendor stays together, audit trail and all, instead of being scattered across inboxes and shared drives.

Can I schedule vendor renewals to send automatically?

Yes. Use scheduled send to queue a renewal for the day it is due, so quarterly and annual vendor renewals go out on their own without anyone remembering to send them. You reuse the original template, so the renewal starts from the same clean, validated layout the vendor signed last time, and you can bulk-schedule a whole cohort of renewals at once when a batch of agreements expires together. Each renewal then runs as its own envelope: the vendor signs, you counter-sign, and the copy seals with a fresh certificate. For a procurement team managing hundreds of supplier agreements, scheduled renewals turn a recurring manual chase into something that handles itself and still leaves a defensible record per vendor.

Does every vendor keep their own sealed copy?

Yes. When an agreement completes, every party on that envelope receives the same sealed copy and certificate of completion, so each vendor keeps a tamper-evident record of exactly what they signed. The PDF is sealed with a SHA-256 hash and an embedded PAdES-B signature, so if a single character is changed after signing, the seal no longer matches and any compliant reader flags the file as altered. Because each vendor is on a separate copy in a bulk job, one supplier's record is fully isolated from the rest of the roster. Nothing is auto-deleted, so a vendor agreement you sealed years ago stays accessible with its proof intact, and you can re-export any vendor's copy and certificate whenever you need it.

Do vendors need an account to sign?

No. Vendors open a secure link from their email and sign directly in the browser on any phone, tablet, or laptop, with nothing to install and no account to create. They review the agreement, agree to the electronic-signing consent, and sign by typing or drawing, producing the same legally binding signature and the same audit trail they would get from any other method. This is what makes onboarding many suppliers at once practical: a vendor in another time zone can complete their part in minutes from any device, without being asked to register first. The signing experience carries your branding, and the only person who needs a Document eSign account is you, the sender who builds the template and bulk-sends it to the roster.
